CLIENT HANDBOOK
This Terms of Use Agreement (the “Agreement”, or the “Terms of Use”) sets forth the legally binding terms and conditions governing your access to and use of the online platforms, services, and products provided by SCHOLARSHIP PATHWAYS LLC, a company incorporated under the laws of Usa, together with its subsidiaries and affiliates (collectively, “SCHOLARSHIP PATHWAYS” or the (“SCHOLARSHIP PATHWAYS”).
You may access the Company’s services via its official website (currently located at www.scholarshippathway.com), through its proprietary mobile application (the “SCHOLARSHIP PATHWAYS MOBILE APP”), or other websites and mobile applications operated by SCHOLARSHIP PATHWAYS in partnership with third parties. All such access points are collectively referred to herein as the “Site”.
By accessing or using the Site and the services made available through it (the “Services”), you acknowledge and agree to be legally bound by these Terms of Use. If you do not agree to these Terms of Use, you must not access or use the Site or Services.
DEFINITIONS
For purposes of this Agreement:
• “Services” shall include all products, services, functionalities, and features offered by SCHOLARSHIP PATHWAYS, whether accessed online (including via the Site), in person, or through any other interaction with the Company.
• The terms “we,” “us,” “our,” and similar expressions refer to the Company.
• The terms “you” and “your” refer to the individual accessing or using the Site or Services.
• The term “including” shall be interpreted to mean “including, without limitation” or “including but not limited to” and shall not be construed as limiting the scope of any provision.
ACCOUNT REGISTRATION AND ACCEPTANCE
To access certain features of the Services, you may be required to create an account. Your registration and use of the Services constitute your full acceptance of, and agreement to be bound by, these Terms of Use. Your affirmative act of using the Site or Services, including by clicking "Accept," constitutes your electronic signature, which shall have the same legal force and effect as a handwritten signature.
You may only accept these Terms of Use and access the Site or Services if:
(a) You are legally authorized to enter into binding contracts under applicable law;
(b) You are of legal age in your jurisdiction to enter into this Agreement; and
(c) Your use of the Site and Services complies with all applicable laws, rules, and regulations.
If you are acting on behalf of a company, organization, or other entity, you represent and warrant the legal authority to bind such entity to these Terms of Use.
You further represent and warrant that:
(a) You are not subject to any economic sanctions or trade restrictions administered or enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the U.S. Department of State, or any other applicable jurisdiction;
(b) You are not located in any country or jurisdiction subject to sanctions that prohibit your use of the Services.
(c) You will not engage in any transaction prohibited under applicable sanctions laws or regulations.
If you access the Site from a jurisdiction outside of the USA, you do so at your own risk and are solely responsible for ensuring compliance with local laws and regulations.
IMMIGRATION DISCLAIMER
You acknowledge and agree that neither SCHOLARSHIP PATHWAYS nor its Services include immigration or visa assistance or advice. You shall not solicit or expect immigration or visa-related services from SCHOLARSHIP PATHWAYS or its recruitment partners or third-party advisors unless:
You acknowledge and agree that your finances are handled by SCHOLARSHIP PATHWAYS LLC., based on your documents and visa approval. Visa rejections are subject to appeal or reapplication with the embassy, and attorney fees.
(a) Such third parties are duly registered and authorized under applicable immigration laws (Laws of the country that applied or the country of the applicant's residence), and
(b) They have executed a formal agreement with SCHOLARSHIP PATHWAYS.
You remain solely responsible for the embassy's result regarding your immigration or visa.
SUPPLEMENTARY AGREEMENTS
In addition to these Terms of Use, you may enter into separate agreements with the Company concerning specific components of the Services, including (without limitation) financing or funding agreements (collectively, the “Other Agreements”). In the event of any conflict between this Agreement and an applicable Other Agreement, the terms of the Other Agreement shall govern concerning the subject matter covered therein.
Please note that any offers, indications of interest, or commitments related to loans or other funding issued by the Company are non-binding and may be withdrawn at any time for any reason, without prior notice, unless and until formalized through a duly executed agreement.

MODIFICATIONS TO TERMS OF USE
1. Amendments to the Terms
The Company reserves the right, in its sole discretion and without prior notice, to modify, amend, or update these Terms of Use at any time. Users are encouraged to review the Terms of Use periodically. The date of the most recent revision will be displayed at the top of the Terms of Use page. Your continued access to or use of the Site or Services following any such changes shall constitute your acceptance of the revised Terms. Modifications shall take effect immediately upon posting.
2. Errors, Changes, and Discontinuations
Subject to applicable law, the Company expressly reserves the right, without notice or liability:
(a) to modify, suspend, or discontinue the Site, the Services, pricing, specifications, promotional offers, or any content or materials therein, at any time and from time to time;
(b) to limit quantities of any Services offered or made available;
(c) to cancel or refuse to process orders or applications, including those that have been accepted, where errors, misprints, or inaccuracies are identified;
(d) to make no representation or warranty that the descriptions, images, specifications, or pricing of any Services are accurate, complete, current, or error-free.
You acknowledge and agree that if you are dissatisfied with any modification to the Site or the Services, your sole and exclusive remedy is to discontinue use, subject to any ongoing obligations under these Terms or any applicable separate agreement between you and the Company.
ELIGIBILITY AND COMMUNICATIONS
3. Eligibility
In the event of a breach of Terms of Use or any other agreement between you and the Company, SCHOLARSHIP PATHWAYS may, in its sole discretion and without prior notice, terminate or suspend your access to the Site and Services, delete your account and any associated content, and/or prohibit you from further use of the Services. Eligibility for access to and use of the Services shall be determined solely by the Company, and not all applications or users may qualify.
4. Electronic Transactions and Disclosures
As the Services are offered exclusively online, you acknowledge and agree that business transactions with the Company will be conducted electronically. By agreeing to these Terms, you consent to receive electronically all disclosures, communications, notices, agreements, and documents related to your use of the Services (each a “Disclosure”), including but not limited to those concerning loan or funding applications, Service registration, and related transactions.
Disclosures provided electronically shall be deemed "in writing" and legally binding. The Company may rely on any electronically authenticated communication as duly authorized and binding upon you. You are required to follow any applicable security protocols issued by the Company and must take all reasonable steps to protect against unauthorized access.
To revoke your consent for electronic Disclosures, you must (i) close your account by contacting the Company at info@scholarshippathways.com, and (ii) cease all access to and use of the Site and Services. Such withdrawal will become effective after a reasonable processing period and only once all outstanding obligations have been fulfilled. Closure of an account to evade legal investigation is strictly prohibited.
The Company reserves the right to terminate, amend, or suspend the provision of electronic Disclosures at its sole discretion.
You acknowledge and agree that your application will be recognized with our service charges of fifty (50) USD only.
You acknowledge and agree that your approved loan/scholarship application is valid for only 14 calendar days. It remains valid only if you transfer 10% of the approved funds and obtain the guaranteed letter from your agent in the country.
5. Customer Communications
Subject to your consent where required by applicable law, you agree that the Company and its authorized agents (including collection agencies and affiliates) may contact you by telephone, SMS, email, or other electronic communication methods at any contact information you have provided or that may be otherwise legally obtained. Such communication may include the use of automatic telephone dialling systems, prerecorded messages, or live agent calls on a recorded line. You acknowledge and accept full responsibility for any fees or charges imposed by your communications service providers.
The Company may employ third-party technologies to monitor user experience and activity on the Site. Such tools may collect information on your interactions with the Site, including but not limited to mouse movements, clicks, scrolling behaviour, and form inputs. This data may be used for analytics, service improvement, customer support, and targeted communication purposes. For more details, refer to the Company’s Privacy Policy.
6. Updating Contact Information
You agree to promptly notify the Company of any changes to your email address, telephone number, or primary mailing address.
INTELLECTUAL PROPERTY AND LICENSING
7. Proprietary Rights and Limited Licence
All materials accessible via the Site and Services, including but not limited to text, graphics, video, audio, software, data, design elements, models, technology, trademarks, logos, and other content (collectively, the “Services Content”) are the exclusive property of the Company or its licensors, and are protected by Canadian and international intellectual property laws.
Subject to your continued eligibility under these Terms, you are granted a limited, non-transferable, non-exclusive, revocable licence to access and use the Services Content solely for your personal, non-commercial use in connection with the Services. You may not alter, copy, reproduce, republish, upload, distribute, or create derivative works from the Services Content, unless expressly authorized in writing by the Company. Any unauthorized use shall immediately terminate the licence granted herein and may constitute a breach of applicable law.
Except for your user-generated content (if any), you may not republish any Services Content on other websites or platforms or use it in compilations or databases. No provision of this Agreement shall be construed as granting any licence by estoppel or otherwise to any intellectual property rights.
8. Trademarks
All graphics, logos, headers, button icons, scripts, and service names associated with SCHOLARSHIP PATHWAYS are trademarks, registered trademarks, or trade names of the Company. These marks may not be used without the Company’s express prior written consent and may not be used in any manner likely to confuse or in connection with any product or service not expressly authorized by the Company.
COPYRIGHT COMPLAINTS
9. Copyright Infringement Notification
If you believe that any material on the Site infringes upon your copyright or intellectual property rights, you may submit a written notice of such alleged infringement to:

Feedback
You acknowledge and agree that any feedback, questions, comments, suggestions, ideas, or similar materials or information (collectively, “Feedback”) provided by you to the Company, whether orally or in writing, shall be deemed non-confidential and non-proprietary. The Company shall be free to use, reproduce, disclose, publish, and otherwise exploit such Feedback without restriction and without any obligation to you, including but not limited to purposes of testing, developing, improving, maintaining, marketing, or otherwise commercializing the Services.
Privacy and Personal Information
For details regarding the Company’s collection, use, disclosure, and processing of personal information, please refer to the Company's Privacy Policy available at , which is incorporated by reference into these Terms of Use. By accessing or using the Site or the Services, you expressly consent to the collection, use, and disclosure of your personal information in accordance with the Privacy Policy.
The Company reserves the right to disclose personal information as necessary to comply with applicable law, legal processes, or requests from governmental or regulatory authorities. The Privacy Policy may be updated from time to time at the Company’s sole discretion, and any such changes shall be effective upon being posted on the Site. The Company may use and disclose de-identified or aggregated data for any lawful business purposes.
Registration for the Services; Account Security
To access features of the Services, you may be required to create an account. You agree to:
(a) provide true, accurate, current, and complete information as prompted during the registration process or as otherwise requested by the Company (“Registration Data”), and to keep such information up to date at all times;
(b) Provide any supporting documentation required by the Company to verify your identity or eligibility for the Services.
(c) Maintain the confidentiality of your login credentials and account information;
(d) accept full responsibility for all activities that occur under your account;
(e) promptly notify the Company of any actual or suspected unauthorized use of your account or any other breach of security;
(f) comply with all applicable laws and regulations in connection with your access to and use of the Services.
You represent and warrant that you have all necessary rights and authority to provide any information or material you submit to the Company, including any third-party data. The Company reserves the right to access your account to respond to support requests, technical issues, security concerns, or as otherwise reasonably necessary.
If you wish to update your Registration Data, you may contact on info@scholarshippathways.com. The Company disclaims liability for any issues resulting from your failure to maintain accurate information.
You further acknowledge and agree that:
• The Company may require you to link third-party accounts or portals and to consent to data disclosures from those third parties;
• When accessing such third-party sites, the Company acts solely as your agent and not on behalf of any such third party;
• The provision of the Services is conditional upon your cooperation and the availability of required data, as further detailed on the Site.
The Company reserves all the rights, at its sole discretion, to deny access to the Services or to refuse to provide Services to any person or entity at any time, with or without notice, and without liability. The Services may not be available in all jurisdictions, and the Company has no obligation to make them so.
You authorize the Company to conduct any inquiries it deems necessary to verify your identity or eligibility to use the Services. Failure to comply with such requests may result in the suspension or termination of your access to the Services. A negative response to your queries will render your application null and void without prior notice or further correspondence. Any applicable refund will be processed within 45 working days, after deducting the cost of services provided by us.
You also agree to cooperate with the Company and its partners, including academic institutions, in regulatory, legal, investigatory, or compliance matters.
Restrictions on Use
You represent, warrant, and agree that you shall not, directly or indirectly:
• Post, upload, transmit, distribute, store, or otherwise make available any content or material that infringes any intellectual property, privacy, or other proprietary rights of any third party;
• Engage in any unlawful, fraudulent, or deceptive conduct, or facilitate or promote any such activity;
• Use the Services in any manner that could disrupt, damage, disable, impair, or interfere with the functionality or performance of the Site or Services;
• Use the Services to harvest or collect personal data for unsolicited communications;
• Circumvent or attempt to circumvent any security measures or authentication protocols;
• Impersonate any individual or entity or misrepresent your affiliation or authority;
• Create or operate more than one account without Company authorization;
• Operate any account on behalf of a third party who is not eligible to register for the Services;
• Upload or distribute any content containing viruses, malware, or other harmful code;
• Use the Services to send unsolicited communications, including spam or promotional messages;
• Engage in any activity that violates applicable local, national, or international laws or regulations.
The Company reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Site and/or the Services, in whole or in part, at any time and without notice, for any reason or no reason, including, without limitation, where it determines that your conduct is harmful, unlawful, or in violation of the Terms of Use. The Company may pursue any remedies available at law or in equity and may cooperate with authorities in investigating and prosecuting unlawful conduct.
User Content
You are solely responsible for any personal or business information, photographs, profiles, messages, notes, text, data, music, videos, contact information (including that of others), advertisements, or any other material or content (collectively, “User Content”) that you upload, publish, provide, or otherwise display (collectively, “post”) on or through the Services.
You acknowledge and agree that [Company Name] (the “Company”) may, but is not obligated to, monitor, review, and remove any User Content, at its sole discretion and without notice, including but not limited to content that, in the Company’s sole judgment, violates the Terms of Use, is potentially offensive or unlawful, or may infringe the rights of, cause harm to, or threaten the safety of other users or any third party.
You further acknowledge that you are solely responsible and liable for any User Content that infringes or violates the intellectual property rights, privacy rights, or any other legal rights of third parties. The Company does not control, and is not responsible for, any User Content, nor for the conduct—whether online or offline—of any user of the Services.
By posting User Content through the Services, you automatically grant, and you represent and warrant that you have the legal right to grant, to the Company an irrevocable, perpetual, non-exclusive, transferable, fully paid-up, royalty-free, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, modify, create derivative works of, reformat, translate, excerpt (in whole or in part), and distribute such User Content in connection with the operation, maintenance, marketing, underwriting, or risk management of the Services.
You may remove your User Content from the Services at any time. However, the aforementioned license shall survive such removal and remain in effect in perpetuity.
You further agree that the Company may make available services or automated tools for the translation of User Content, and that such content may be translated using these tools. The Company makes no representation or warranty as to the accuracy or quality of any translation, and you remain solely responsible for verifying the accuracy and suitability of translated content.
You acknowledge that the operation of the Services, including transmission and storage of User Content, may involve (a) transmissions over various public or private networks; (b) modifications to conform and adapt to technical requirements of such networks or devices; and (c) transmission to third-party service providers and hosting partners of the Company who provide the necessary infrastructure, software, and related technology. As such, you bear sole responsibility for the security, protection, and backup of any User Content. The Company shall not be liable for any loss, corruption, deletion, unauthorized access, or destruction of User Content, or for any costs, harm, or damages arising therefrom.
The provisions of this section are supplemental to, and not intended to limit or modify, any disclaimers or limitations of liability set forth in the Terms of Use.
Support Services
As part of the Services, the Company may provide you with analyses, support, estimates, recommendations, financial models, forecasts, tools, or other materials for the purpose of evaluating your financial situation or potential educational, employment, or immigration opportunities (collectively, “Support”).
Such Support is provided solely for illustrative and informational purposes and does not constitute, nor should it be interpreted as:
(a) factual or investment advice, or a recommendation to purchase, sell, or hold any security or financial instrument,
(b) legal, immigration, education, or visa-related advice, or
(c) tax advice of any kind.
Support is based on assumptions and data available to the Company at the time of provision and may be derived from proprietary methodologies. These methodologies are subject to change at the Company’s sole discretion, including the addition, removal, or re-weighting of factors or variables. Support content may not reflect recent or pending transactions and may not be updated after initial publication. The Company makes no undertaking to revise or update any such Support.
You acknowledge that the Company may maintain partnerships with certain third parties and that access to certain Services or Support may be limited to such partners. The existence of any such relationship does not imply endorsement or guarantee of Support content.
The Company does not guarantee the accuracy, completeness, or usefulness of any Support, and disclaims all warranties, express or implied, as to the suitability, reliability, or availability of the Support. The Support may contain incomplete, outdated, or inaccurate information, and may include content generated by automated systems that could result in erroneous or misleading output.
You agree that your reliance on Support is entirely at your own risk. You remain fully and solely responsible for any actions taken or decisions made based on the Support provided.
The provisions of this section are supplemental to, and not intended to limit or modify, the limitation of liability or non-reliance provisions set forth elsewhere in the Terms of Use.
Jurisdictional Limitations
The Services, including all Support, information, content, products, and tools, are intended for use within the USA. The Company makes no representation or warranty that the Services are appropriate or available for use in other jurisdictions. The Company reserves the right to restrict access to the Services to any individual, geographic region, or jurisdiction at any time and in its sole discretion.
Loan and Funding Inquiries and Submissions
If you submit a loan or funding inquiry, request, or application to SCHOLARSHIP PATHWAYS, you expressly authorize and instruct SCHOLARSHIP PATHWAYS to obtain and use:
(a) your credit information from a recognized credit reporting agency;
(b) your immigration status from relevant governmental authorities; and
(c) your academic information from applicable educational institutions,
and to process such information in accordance with our [Privacy Policy], including for the purpose of marketing and advertising products and services to you, and for targeted advertising.
This authorization is in addition to:
(i) any terms and conditions you accept at the time of submitting a loan or funding inquiry;
(ii) any terms governing your loan or funding application; and
(iii) any terms contained in executed loan or funding agreements, where applicable.
SCHOLARSHIP PATHWAYS reserves the absolute right to decline, suspend, or terminate any loan or funding inquiry, submission, or application at any time, with or without notice, and to deny access to future use of the Site or Services. Any loan or funding offers, commitments, or expressions of interest presented to you by SCHOLARSHIP PATHWAYS shall be non-binding and subject to withdrawal or modification at any time, without notice or liability. No legally binding obligations shall arise unless and until definitive written agreements (“Other Agreements”) are duly executed and delivered by all relevant parties.
Loans may be offered by SCHOLARSHIP PATHWAYS (Funding) LLC, and funding agreements by SCHOLARSHIP PATHWAYS or authorized agenting company, both affiliates of SCHOLARSHIP PATHWAYS, or by any other entity designated by SCHOLARSHIP PATHWAYS from time to time.
Pre-Qualification Offers
SCHOLARSHIP PATHWAYS may, from time to time and at its sole discretion, use your information to assess potential eligibility for pre-qualified or pre-selected offers or programs (“Pre-Qualification Offers”), as permitted under our Privacy Policy.
SCHOLARSHIP PATHWAYS will determine the timing, frequency, and scope of such eligibility checks, including with which participating providers (which may include SCHOLARSHIP PATHWAYS itself), based on various factors, such as the availability of data, provider criteria, and other relevant considerations. These pre-qualification assessments may involve a "soft" credit inquiry which will not impact your credit score.
Pre-Qualification Offers are indicative only, do not constitute a formal approval, and are subject to change or cancellation at any time. Formal application and approval processes with the respective provider (including SCHOLARSHIP PATHWAYS) will still be required. SCHOLARSHIP PATHWAYS does not guarantee acceptance or eligibility.
Third-Party Services and Content
The Services may provide access to, or incorporate, third-party websites, software, applications, services, programs, or content (“Third-Party Sites” and “Third-Party Content”), and may facilitate introductions or access to independent third-party service providers (“Service Partners”) through directories or other partner programs (“Partner Program Sites”).
SCHOLARSHIP PATHWAYS may receive compensation or other incentives from Third-Party Sites or Service Partners when you engage with them via the Site or Services. However, any such inclusion, listing, or reference does not imply any endorsement, affiliation, authorization, sponsorship, or recommendation by SCHOLARSHIP PATHWAYS, and should not be interpreted as such.
SCHOLARSHIP PATHWAYS does not control, monitor, or assume responsibility for the accuracy, legality, appropriateness, completeness, or reliability of any Third-Party Content or actions of Third-Party Sites or Service Partners. Any interaction or transaction with such third parties is undertaken entirely at your own risk and may be subject to the third party’s own terms and conditions, including privacy policies.
SCHOLARSHIP PATHWAYS reserves the right to suspend or terminate access to any Third-Party Sites, Partner Program Sites, or Service Partners, in its sole discretion, at any time and without prior notice or liability.
SCHOLARSHIP PATHWAYS shall have no liability for any loss, damage, or other harm arising from or related to your use of, or interaction with, any Third-Party Site, Partner Program Site, Service Partner, or Third-Party Content.
No Guarantee of Outcomes
SCHOLARSHIP PATHWAYS does not guarantee that you will:
• receive any specific offer, product, or service;
• gain admission to any educational or employment program;
• be approved for immigration status or any other application; or
• meet any eligibility, approval, or selection criteria.
Any probability or likelihood of approval shared with you by SCHOLARSHIP PATHWAYS is indicative only and should not be construed as a guarantee. Final eligibility and approval are subject to the respective third party’s independent review and discretion.
SCHOLARSHIP PATHWAYS MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR LIKELIHOOD OF SUCCESS OF ANY APPLICATION OR SERVICE. SCHOLARSHIP PATHWAYS is not responsible for any errors or omissions in submitted applications or any related fees or transactions, however caused.
Information Facilitation Services
As part of the Services, SCHOLARSHIP PATHWAYS may facilitate the collection, verification, sharing, and transfer of documentation and data (“Information Facilitation Services”) between providers of such data (“Information Providers”) and recipients thereof (“Information Consumers”). This data may include, without limitation, records, statements, assessments, and supporting documents in any format (“Facilitated Information”). SCHOLARSHIP PATHWAYS may act as either an Information Provider or an Information Consumer.
Information Providers include, but are not limited to, educational institutions, government agencies, financial institutions, payment processors, assessment entities, and other service providers.
In addition to any representations and warranties under the Terms of Use, each Information Provider represents and warrants that:
(a) it possesses all rights, licenses, consents, and legal authority required to provide the Facilitated Information and to use the Information Facilitation Services in compliance with applicable laws and regulations;
(b) it is authorized to permit SCHOLARSHIP PATHWAYS and the applicable Information Consumer to use the Facilitated Information; and
(c) the Facilitated Information provided is true, accurate, current, and complete.
Information Providers hereby grant SCHOLARSHIP PATHWAYS a non-exclusive, worldwide, royalty-free, transferable, and sub-licensable license to use their trademarks, service marks, and Facilitated Information for purposes of providing and promoting the Information Facilitation Services and fulfilling the Company’s obligations under the Terms of Use. This license shall survive termination of the Information Provider’s use of the Services.
Information Consumers represent and warrant that they are authorized to use the Information Facilitation Services and to access and rely upon the Facilitated Information.
SCHOLARSHIP PATHWAYS MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE RELIABILITY OR ACCURACY OF THE INFORMATION, FACILITATION SERVICES, OR THE FACILITATED INFORMATION. Each Information Consumer is solely responsible for evaluating and relying upon any Facilitated Information it receives. The Company disclaims any responsibility for the accuracy, legality, or completeness of the Facilitated Information.
SCHOLARSHIP PATHWAYS does not verify or monitor the Facilitated Information or the actions of any Information Provider or Information Consumer. The relationship between such parties is independent of their relationship with SCHOLARSHIP PATHWAYS and may be governed by separate agreements between them. SCHOLARSHIP PATHWAYS has no obligation to intervene in disputes arising between Information Providers and Information Consumers.
SCHOLARSHIP PATHWAYS shall not be liable for any error, omission, inaccuracy, or regulatory failure in connection with the Information Facilitation Services or any Facilitated Information, however caused.
Credit Score Monitoring
SCHOLARSHIP PATHWAYS may offer you the ability to access your credit score from a single credit reporting agency to monitor your credit status ("Credit Score Monitoring"). By enrolling in Credit Score Monitoring, you acknowledge and agree to the following terms and conditions:
(a) You hereby authorise and instruct SCHOLARSHIP PATHWAYS to obtain your complete credit report from a credit reporting agency on a recurring basis (e.g., weekly/monthly) until you terminate the Credit Score Monitoring service.
(b) SCHOLARSHIP PATHWAYS may present to you your credit score and additional elements of your credit report for your review; however, SCHOLARSHIP PATHWAYS does not undertake any obligation to monitor your credit report or to take any action on your behalf in respect of any activity reflected therein.
(c) Any credit score provided is intended solely for your personal use and informational purposes.
(d) The credit score may be derived from a single credit reporting agency and may differ from scores provided by other agencies, lenders, or financial institutions.
(e) SCHOLARSHIP PATHWAYS may store and utilise your credit report information for purposes consistent with our Privacy Policy, including, without limitation, offering tools, services, or products that relate to your credit profile.
You acknowledge and agree that SCHOLARSHIP PATHWAYS is not a credit reporting agency or a credit repair organisation, and does not offer, perform, or undertake any credit repair services. Any suggestions, simulations, or hypothetical projections provided by SCHOLARSHIP PATHWAYS regarding your credit score or related financial matters are for informational purposes only, are based on assumptions, and do not constitute financial, legal, or other professional advice. Such information is not a guarantee of any specific outcome.
You further authorise SCHOLARSHIP PATHWAYS to obtain consumer reports from time to time from a consumer reporting agency for any purpose permitted under applicable law, including for the purposes of: (i) a credit transaction initiated by you, (ii) verifying your identity to prevent fraud, (iii) reviewing your eligibility for services, and (iv) other legitimate business purposes. You consent to receiving updates, alerts, and notifications about your consumer report and credit profile via push notifications, in-app messages, emails, or text messages.
New Features
SCHOLARSHIP PATHWAYS may time to time, provide you with limited access to new software features, products, or services that are in development or released in test format (each, a "New Feature"). Such New Features may be provided under an alpha, beta, or other pre-release designation and are made available solely for demonstration, evaluation, or testing purposes.
You are granted a limited, revocable, non-transferable, and non-sublicensable licence to access and use any such New Feature for the duration specified by SCHOLARSHIP PATHWAYS. You acknowledge that New Features may be incomplete, unstable, contain defects, be modified in ways that are not backward compatible, or be withdrawn at any time without notice. SCHOLARSHIP PATHWAYS does not guarantee that any New Feature will be made generally available. SCHOLARSHIP PATHWAYS reserves the right to suspend or terminate your access to any New Feature at any time, for any reason, without liability.
Fees and Deposits
When you purchase a Service via the Site, you agree to pay all applicable charges, including, but not limited to, application fees, processing fees, deposits (whether refundable or non-refundable), listing prices, taxes, and any other charges identified during the checkout process (collectively, the “Total Price”). Upon confirmation of your purchase, a binding agreement for the relevant Service (a “Purchased Service”) is formed between you and the provider of such Service (the “Purchased Service Provider”), which may be SCHOLARSHIP PATHWAYS or a third party.
Pricing may vary depending on currency conversion rates or your geographic location and may be subject to additional foreign exchange fees. You are responsible for understanding and complying with all terms applicable to any Purchased Service, including cancellation policies, refund terms, and other rules, standards, or requirements made available via the Site or otherwise disclosed by the Purchased Service Provider.
Prices, fees, and deposits are subject to change without notice. SCHOLARSHIP PATHWAYS reserves the right, at its sole discretion, to introduce or modify any application, processing, or deposit fees at any time. All such fees are non-refundable unless otherwise explicitly stated in writing.
Search results and the order of services presented on the Site or in the mobile application may vary due to numerous factors. SCHOLARSHIP PATHWAYS may permit Purchased Service Providers to promote their listings for additional fees.
You authorise SCHOLARSHIP PATHWAYS to (i) perform authorisations on your credit card(s) or other Payment Methods, (ii) retain and use your payment information as necessary to provide Services, in accordance with our Privacy Policy, and (iii) charge your designated Payment Method for all amounts owed under the Terms of Use. "Payment Method" includes any valid credit card, debit card, bank account, or other payment mechanism accepted by SCHOLARSHIP PATHWAYS.
By submitting payment information, you represent and warrant that:
(a) you are authorised to use the designated Payment Method;
(b) the information provided is accurate;
(c) if acting on behalf of a business or individual, you are duly authorised to bind them to payment; and
(d) your use of the Payment Method does not violate applicable law or the terms and conditions applicable thereto.
All payments are final and non-refundable except as expressly provided in these Terms. You are responsible for ensuring that sufficient funds or credit are available to complete any transaction. SCHOLARSHIP PATHWAYS may refuse Services until payment is received in full.
SCHOLARSHIP PATHWAYS shall not be liable if any transaction fails due to the refusal of a financial institution, insufficient funds, legal limits, or for any other reason beyond its control. SCHOLARSHIP PATHWAYS reserves the right to reject any Payment Method or return any payment, net of applicable costs or fees.
Fees Charged by Banks
You may incur fees from your financial institution when making international or cross-border transactions, including currency conversion or foreign transaction fees. Such charges may apply when:
• You use a payment method issued in a different country than the Purchased Service Provider.
• You transact in a currency different from the local currency of the Service.
SCHOLARSHIP PATHWAYS is not liable for any such fees or fluctuations in exchange rates. All Services are transacted in Canadian Dollars unless otherwise specified.

Taxes
All payments due under the Terms of Use shall be made free and clear of any deduction or withholding for present or future taxes unless required by applicable law. In the event that any such deduction or withholding is required, you agree to pay such additional amounts as are necessary to ensure that SCHOLARSHIP PATHWAYS receives the full amount it would have received in the absence of such deduction or withholding.
You are solely responsible for the payment of all applicable taxes, duties, or similar charges (including, without limitation, stamp duty or registration taxes) that may arise in connection with your use of the Services or execution of this Agreement.
Currency Conversion
Any currency conversion rates displayed by SCHOLARSHIP PATHWAYS are for informational purposes only and are based on publicly available sources. Exchange rates may vary and are outside of SCHOLARSHIP PATHWAYS’s control. SCHOLARSHIP PATHWAYS does not guarantee the accuracy or applicability of any currency conversion information provided.
Withdrawal Deduction Policy
In the event of a student choosing to withdraw from the program, the following deduction policy will apply based on the timing and status of the application:

Community Terms
1. Overview
SCHOLARSHIP PATHWAYS may, at its sole discretion, offer users the opportunity to share information regarding their experience using SCHOLARSHIP PATHWAYS, including user-generated content ("User Content") such as immigration, educational, and employment experiences, or to create a community profile (each, a “Community Profile”). These functions are intended to facilitate interaction among users, including sharing ideas, engaging in dialogue, learning, seeking or offering employment, and expanding professional networks (collectively, such users are “Community Members”). Where offered, these functions shall be governed by these Community Terms, in addition to the general Terms of Use and any applicable community guidelines which SCHOLARSHIP PATHWAYS may update from time to time.
2. Community Profiles and Social Media Integration
If you choose to create a Community Profile, you may be given the option to link it with external social media accounts. In doing so, SCHOLARSHIP PATHWAYS may collect information from those third-party platforms, subject to the terms of the Privacy Policy. You are required to provide accurate, current, and complete information at all times. Failure to comply constitutes a breach of these Terms of Use and may result in immediate termination of your Community Profile without notice.
Information from your SCHOLARSHIP PATHWAYS account and any information you choose to share may be visible to other Community Members. Please be advised that all content posted to the Community platform may be accessible to the public and could be read, collected, or used by others, potentially including unsolicited communications. 3. Suspension or Termination of Access
SCHOLARSHIP PATHWAYS reserves the right, at its sole discretion, to suspend, restrict, or terminate your Community Profile or access to any Community features without notice or liability. Upon termination, all rights to use Community features shall immediately cease. SCHOLARSHIP PATHWAYS may also impose limitations on your usage, including the number of connections or ability to contact other users.
4. Moderation and Content
SCHOLARSHIP PATHWAYS is not obligated to publish any content submitted by users and may, at its discretion, remove or restrict access to any content that violates these Community Terms, the general Terms of Use, or the Community Guidelines. While SCHOLARSHIP PATHWAYS may proactively moderate content, it expressly disclaims any obligation to do so. We reserve the right to remove content, restrict functionality, or terminate accounts as we deem necessary.
5. User Content and Responsibility
SCHOLARSHIP PATHWAYS does not control and is not responsible for the use or misuse of any User Content by third parties. You acknowledge that all User Content is submitted voluntarily and is non-confidential and non-proprietary. You are solely responsible for your interactions with other Community Members and for the User Content you contribute.
SCHOLARSHIP PATHWAYS does not guarantee the accuracy or appropriateness of User Content and assumes no responsibility for any content posted by others, including any which may be inaccurate, incomplete, offensive, or unlawful.
6. Third-Party Services and Events
SCHOLARSHIP PATHWAYS may facilitate connections between Community Members offering services (e.g., career coaching, accounting) and those seeking such services. SCHOLARSHIP PATHWAYS does not employ or supervise these individuals and disclaims all responsibility related to such services. Users must be at least 18 years of age to offer, procure, or perform such services and are responsible for complying with all applicable laws, including licensing requirements.
Similarly, SCHOLARSHIP PATHWAYS may assist with registration for events organized by Community Members. SCHOLARSHIP PATHWAYS is not responsible for the conduct of attendees or event organizers, and you agree to comply with all event-specific terms and conditions.
7. Chat Room and Channel Rules
Certain chat rooms or channels may have specific rules in addition to these Terms. You will be notified of any such rules upon entry. All users must adhere to the following general conduct guidelines:
• Do not interrupt or overwhelm other users.
• Refrain from discriminatory, harassing, or offensive behavior or language.
• No spamming, advertising, or unsolicited invitations.
• Avoid excessive use of capital letters.
• Do not use bots or automated scripts.
• Do not attempt to gain unauthorized access or manipulate others.
8. Recommendations and Suggestions
SCHOLARSHIP PATHWAYS may use data provided by or collected from you to offer personalized recommendations regarding potential connections, content, and features within the Community.
9. Disclaimers and Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL SCHOLARSHIP PATHWAYS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR PARTICIPATION IN THE COMMUNITY, INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM INTERACTIONS WITH OTHER MEMBERS OR RELIANCE ON ANY USER CONTENT. You remain solely responsible for your decisions, conduct, and interactions with others. User Content is non-confidential and not subject to compensation. SCHOLARSHIP PATHWAYS does not monitor Community Member behavior and disclaims responsibility for any actions, statements, or content shared therein.
10. Background Checks
SCHOLARSHIP PATHWAYS does not currently conduct background checks or screening on Community Members, though it reserves the right to do so at any time. No representation or warranty is made regarding the conduct, credibility, or compatibility of Community Members.
Referral Program Terms
1. Applicability and Eligibility
Participation in SCHOLARSHIP PATHWAYS’s referral programs (“Referral Programs”) is subject to these Referral Program Terms and any additional promotional campaign rules. By participating, you agree to abide by all applicable terms.
Referrals must be made using a unique referral link (“Referral Link”). Each referred individual (“Referred Person”) must be someone with whom you have a personal relationship and who is likely to be genuinely interested in SCHOLARSHIP PATHWAYS’s services.
SCHOLARSHIP PATHWAYS reserves the right to disqualify participants and referrals at its sole discretion, especially in cases of abuse or conduct contrary to the purpose or spirit of the Referral Program.
2. Ineligibility and Restrictions
You may not:
• Refer yourself or create duplicate accounts.
• Refer individuals already known to or previously contacted by SCHOLARSHIP PATHWAYS.
• Refer anyone on SCHOLARSHIP PATHWAYS’s opt-out lists or who fails to use their Referral Link within the required period (typically 30 days).
• Violate any applicable laws, including anti-spam regulations, in connection with referral activity.
Referral bonuses will not be issued where prohibited by law or campaign terms. SCHOLARSHIP PATHWAYS reserves the right to withhold bonuses in cases of ineligibility or abuse.
3. Prohibited Distribution Methods
Referral Links may not be shared through mass emails, unsolicited messages, paid advertisements, or misleading representations. Violations may result in disqualification and forfeiture of any associated rewards.
4. Independent Contractor Status
Participation in any Referral Program does not create an employment, partnership, agency, or fiduciary relationship with SCHOLARSHIP PATHWAYS. Participants act solely as independent contractors.
5. Program Administration and Limitations
• SCHOLARSHIP PATHWAYS may modify or terminate Referral Programs at any time without notice or liability.
• Referrer and referred individuals may each be made aware of the other’s account status solely for the purposes of tracking referral eligibility.
• Agents/students will receive USD 1,000 per candidate if per 2 students as referral rewards in a calendar year, unless otherwise specified.
• Referral Program rewards are exclusive of any applicable taxes. Participants are solely responsible for reporting and remitting any taxes arising from their participation. SCHOLARSHIP PATHWAYS may withhold taxes where legally required and disclaims any liability for tax obligations of participants.
6. Data Usage and Privacy
Participants who share another individual’s information with SCHOLARSHIP PATHWAYS represent that they have lawful authority to do so. Participation constitutes a limited waiver of privacy rights solely to the extent necessary for eligibility and reward administration.
7. Fraud and Misrepresentation
Participants shall not mislead others regarding SCHOLARSHIP PATHWAYS, its services, or the nature of the Referral Program. Any deceptive or unethical conduct may result in immediate disqualification.
8. Governing Law and Enforcement
These terms shall be governed and construed in accordance with the laws of the applicable jurisdiction. Any provision found to be unenforceable shall not affect the enforceability of the remaining provisions.
Miscellaneous Provisions
1. Limitation of Liability Subject to Law
To the extent that applicable law restricts or limits the application of any provision of this Section, our liability shall be limited to the maximum extent permitted by such applicable law.
Disclaimers
None of SCHOLARSHIP PATHWAYS Inc., its parent entities, subsidiaries, affiliates, licensors, service providers, funding sources, or their respective officers, directors, employees, agents, contractors, or shareholders (collectively, the "SCHOLARSHIP PATHWAYS Parties") warrant the accuracy, adequacy, timeliness, reliability, completeness, or usefulness of the Site, Services, Services Content, or any associated information. The SCHOLARSHIP PATHWAYS Parties expressly disclaim all liability for any errors or omissions contained therein.
THE SITE, SERVICES, AND SERVICES CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. SCHOLARSHIP PATHWAYS does not assume a fiduciary or advisory duty to you and does not provide legal, tax, investment, insurance, immigration, or academic advice. You agree that you are solely responsible for obtaining professional advice as needed and for all decisions made in reliance on the Services or Services Content. By using the Services, you affirm that you have independently assessed and will continue to assess your own financial, academic, legal, and immigration circumstances and requirements.
You shall not represent yourself as an agent of SCHOLARSHIP PATHWAYS or attempt to bind SCHOLARSHIP PATHWAYS in any capacity without prior written authorization.
Service Interruptions and Technical Issues
The Services may occasionally be unavailable due to maintenance, upgrades, or other reasons. SCHOLARSHIP PATHWAYS is not liable for any interruption, deletion, corruption, loss of data, communication failure, unauthorized access, or technical malfunction of systems beyond its control. Under no circumstances shall SCHOLARSHIP PATHWAYS be liable for any loss or damage to User Content, or for any consequential harm resulting from the use of the Services.
Third-Party References
References to any third-party products, services, trademarks, or trade names do not constitute or imply an endorsement, sponsorship, or recommendation by SCHOLARSHIP PATHWAYS.
Legal Compliance
SCHOLARSHIP PATHWAYS reserves the right to take any actions deemed reasonably necessary to comply with applicable laws or orders of competent courts, regulatory bodies, or governmental authorities.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR DIRECT DAMAGES ARISING FROM GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT SHALL BE LIMITED TO A MAXIMUM AGGREGATE AMOUNT OF USD $100. We disclaim any and all other direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of visa or immigration status, reputational harm, or cost of substitute services.
This limitation applies regardless of the cause of action, whether in contract, tort (including negligence), warranty, or otherwise, and whether or not we were advised of the possibility of such damages. These limitations shall apply even if any limited remedy fails in its essential purpose.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Usa applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario for any legal proceeding arising out of or related to this Agreement. You waive any right to object to such jurisdiction or venue on the grounds of forum non conveniens.
Indemnification
You, your successors, and assigns agree to indemnify, defend, and hold harmless the Indemnified Parties (as defined above) against any and all liabilities, claims, damages, losses, judgments, penalties, fines, legal costs, and expenses arising out of or in connection with:
(a) your access to or use of the Services;
(b) your User Content or materials provided;
(c) any reliance by an Information Consumer on the Information Facilitation Services; or
(d) your breach of the Terms of Use or applicable law.
SCHOLARSHIP PATHWAYS reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully.
Force Majeure
Neither party shall be liable for failure or delay in performing its obligations under the Terms of Use due to a Force Majeure event. Affected parties shall provide prompt written notice and make reasonable efforts to resume performance as soon as practicable. “Force Majeure” shall include, but not be limited to, natural disasters, pandemics, war, terrorism, strikes, governmental acts, internet outages, and any events beyond reasonable control.
Entire Agreement; Assignment
The Terms of Use, along with any applicable agreements or policies, represent the entire agreement between you and SCHOLARSHIP PATHWAYS. No waiver of any term shall be deemed a further or continuing waiver of such term or any other. If any provision is deemed unenforceable, the remaining provisions shall remain in full force.
You may not assign or transfer your rights under these Terms without our prior written consent. SCHOLARSHIP PATHWAYS may assign this Agreement freely. The Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
Non-Disparagement
You agree not to make any disparaging or defamatory statements about SCHOLARSHIP PATHWAYS, its affiliates, or any of their officers, directors, or employees. You acknowledge that SCHOLARSHIP PATHWAYS’s reputation is a valuable asset and agree that any breach of this clause will cause irreparable harm.
Notices
Notices under these Terms shall be given via:
(i) email; or
(ii) posting on the Site.
The date of transmission or posting shall constitute the date of receipt.
Language
